1. Nature of the service

YourADI Limited provides a technology platform (Software-as-a-Service) that connects independent Approved Driving Instructors (ADIs) and motoring schools with students seeking driving lessons.

YourADI is strictly a software provider, not a driving school. We do not employ instructors, nor do we provide driving instruction, vehicles, or licensing services. Any contract for driving lessons is made directly and exclusively between the Student and the Instructor.

2. Payments, booking fees, and refunds (for students)

When a student books a lesson through the YourADI platform, the following financial terms apply:

  • The Platform Booking Fee: YourADI charges the student a nominal €0.50 platform booking fee per transaction. This fee covers the cost of operating the booking engine and secure payment gateway. This €0.50 fee is non-refundable. The service of processing and securing the digital booking is considered fully performed the moment the booking is scheduled, regardless of whether the lesson subsequently takes place or is cancelled. This does not affect any statutory rights available to consumers under Irish or EU law.
  • Lesson Fees: Payment for the driving lesson itself is processed securely via Stripe Connect and routed directly to the Instructor’s connected account. The Instructor is the Merchant of Record for the lesson.
  • Custody of Funds: YourADI Limited does not hold or control customer funds at any time. All lesson payments are settled between the Student and the Instructor via Stripe.
  • Lesson Disputes: Any requests for lesson refunds, cancellations, or disputes regarding the quality or delivery of instruction must be resolved directly between the Student and the Instructor. YourADI Limited is not a party to that contract and, to the fullest extent permitted by applicable law, accepts no liability for lesson refunds, chargebacks, or instructor no-shows. This does not affect any statutory rights available to consumers under Irish law.

3. Instructor subscriptions and metered usage (for ADIs)

Instructors use YourADI under a month-to-month software subscription model subject to the following terms:

  • Subscription Cancellations: The base subscription is a strict month-to-month contract. Instructors may cancel their subscription at any time. Upon cancellation, no prorated refunds will be issued; instead, the instructor will retain full access to the platform until the end of their current billing cycle.
  • Metered Communications (SMS & WhatsApp): Instructors may opt-in to use automated SMS and WhatsApp reminders. These services are billed in arrears at the end of the month based on usage.
  • Attempted Message Billing: Metered usage is charged on a per-message-attempted basis. If the platform attempts to send an SMS/WhatsApp but it fails to deliver (e.g., due to the instructor or student entering an invalid or disconnected phone number), the instructor will still be charged for the attempt. It is the instructor's responsibility to maintain accurate student contact records.
  • Final Billing: If an instructor cancels their account, a final invoice will be generated to capture any unbilled metered usage (SMS/WhatsApp fees) incurred prior to the end of their final billing cycle.

4. Instructor professional obligations

To maintain the integrity of the platform, all driving instructors must hold and maintain a valid Approved Driving Instructor (ADI) certification issued by the Road Safety Authority (RSA) of Ireland.

  • Instructors are solely responsible for keeping their RSA registration, vehicle insurance, and tax affairs up to date.
  • YourADI Limited reserves the right (but is not obligated) to verify ADI credentials. We reserve the right to suspend, restrict, or terminate any instructor's account if we discover their certification has lapsed, if they have been removed from the RSA register, or if we reasonably consider their continued presence on the platform poses a legal or reputational risk to YourADI Limited.

5. Acceptable use

All users of the platform agree not to:

  • Use the platform for any unlawful or fraudulent purpose;
  • Provide false, inaccurate, or misleading information (including identity, ADI number, or contact details);
  • Attempt to interfere with, disrupt, reverse-engineer, or gain unauthorised access to the platform, its infrastructure, or other users’ accounts;
  • Misuse the booking, messaging, payment, or notification systems, including sending unsolicited communications, harassing users, or generating fake bookings;
  • Circumvent or attempt to circumvent platform fees, payment flows, or security controls.

We reserve the right to investigate suspected violations and to suspend or terminate accounts in accordance with Section 6.

6. Suspension and termination

YourADI Limited may suspend, restrict, or terminate your access to the platform (in whole or in part) at any time, with or without notice, where:

  • You have materially breached these Terms;
  • We reasonably suspect fraudulent, abusive, or unlawful activity on your account;
  • Required subscription or metered-usage payments are not made when due;
  • An instructor’s RSA ADI certification lapses, is revoked, or is otherwise invalidated;
  • Continued access poses a legal, safety, or reputational risk to YourADI Limited, its users, or third parties; or
  • We are required to do so to comply with applicable law or a request from a competent authority.

Where proportionate and lawful, we will aim to give reasonable notice and, in the case of instructors, provide a final invoice for any unbilled metered usage. Termination does not affect any rights or liabilities that have accrued prior to the date of termination.

7. Service availability

We work hard to keep YourADI reliable, but we do not guarantee that the platform will be uninterrupted, error-free, or continuously available. Access may be temporarily restricted, suspended, or degraded for:

  • Scheduled maintenance and updates;
  • Emergency maintenance or security patching without prior notice;
  • Technical issues affecting our infrastructure or that of our sub-processors.

To the fullest extent permitted by applicable law, YourADI Limited accepts no liability for any losses arising from downtime, outages, or degraded performance of the platform.

8. Force majeure

YourADI Limited shall not be liable for any failure or delay in performance caused by events outside our reasonable control, including (without limitation): acts of God, natural disasters, war, civil unrest, strikes, pandemics, cyber-attacks, failures of electricity or telecommunications networks, and failures or interruptions of third-party services such as payment processors, hosting or database providers, or SMS/email delivery providers.

9. Limitation of liability

YourADI provides digital scheduling and administrative software only. We have no control over the physical execution of driving lessons.

To the fullest extent permitted by applicable law, YourADI Limited, its directors, officers, employees, and agents shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with your use of the platform;
  • Any real-world accidents, injuries, loss of life, property damage, or traffic violations occurring before, during, or after a driving lesson booked through or managed on the platform; or
  • Any accidents or harm caused by users interacting with the YourADI application while operating a vehicle. Instructors and Students must comply with all road traffic laws. Instructors are strictly prohibited from using the YourADI application, checking schedules, or interacting with the software while operating a vehicle.

Nothing in these Terms shall exclude or limit our liability for:

  • Death or personal injury caused by our negligence;
  • Fraud or fraudulent misrepresentation; or
  • Any other liability that cannot lawfully be excluded or limited under Irish or EU law, including mandatory consumer rights.

10. Intellectual property

All code, design, branding, and text associated with the YourADI platform is the exclusive intellectual property of YourADI Limited. You may not copy, reverse-engineer, or distribute any part of our software without explicit written permission.

11. Privacy

Your use of the platform is also governed by our Privacy Policy, which explains how YourADI Limited collects, uses, and safeguards personal data in accordance with the GDPR and Irish data protection law. By using YourADI, you acknowledge that you have read and understood the Privacy Policy.

12. Changes to these Terms

We may update these Terms from time to time to reflect changes to the platform, applicable law, or our business. Where changes are material, we will provide reasonable notice by email or via in-app notification before they take effect. Your continued use of the platform after the effective date of the updated Terms constitutes your acceptance of them.

13. Governing law

These Terms of Service, and any disputes arising from your use of the platform, shall be governed by and construed in accordance with the laws of the Republic of Ireland. Any legal actions must be brought within the exclusive jurisdiction of the Irish courts. Nothing in this clause prevents a consumer from relying on mandatory protections available to them under the law of their country of residence.
